These Terms of Service ("Terms") govern your use of the ForwardCycle AI platform and services. By creating an account or using our service, you agree to be bound by these Terms. If you do not agree, do not use the service.
1. Agreement to Terms
These Terms constitute a legally binding agreement between you (the "Client", "you") and ForwardCycle AI ("we", "us", "our"). By accessing or using our AI voice agent platform, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Cookie Policy.
2. Service Description
ForwardCycle AI provides an AI-powered voice agent platform that answers telephone calls on behalf of subscribing businesses. The service includes: AI voice agents that answer inbound calls in your brand voice; lead qualification and scoring based on configurable criteria; appointment booking integrated with calendar systems; call recording, transcription, and summarisation; outbound calling for reminders and follow-ups (Growth and Scale plans); a web-based dashboard for managing your agent and viewing call data; and SMS and email notifications for call summaries.
The service is provided on an "as available" basis. While we target 99.9% uptime, we do not guarantee uninterrupted service and are not liable for temporary outages due to maintenance, third-party failures, or force majeure.
3. Eligibility & Registration
To use ForwardCycle AI, you must: be at least 18 years of age; be acting on behalf of a UK-registered business or a business operating in the UK; provide accurate and complete registration information; and maintain the security of your account credentials.
You are responsible for all activity under your account. Notify us immediately at info@forwardcycle.co.uk if you suspect unauthorised access.
4. Subscription Plans & Pricing
ForwardCycle AI offers three subscription tiers:
- Starter — £149/month. 1 AI agent, 300 minutes included, business hours (8am–6pm), SMS call summaries, email support.
- Growth — £249/month. 1 AI agent, 500 minutes included, inbound and outbound, 24/7 availability, calendar integration, priority support.
- Scale — £499/month. Multiple AI agents, 1,000 minutes included, inbound and outbound, 24/7 with after-hours routing, CRM integration, dedicated account manager.
All prices are exclusive of VAT. Minutes exceeding the monthly allowance are charged at £0.45 per minute. We reserve the right to adjust pricing with 30 days' written notice.
5. Free Trial
New clients receive a 7-day free trial with full access to their selected plan's features. No payment card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the service. If you do not subscribe, your account will be suspended and your data retained for 30 days before deletion.
6. Billing & Payment
Subscriptions are billed monthly or annually in advance via Stripe. You authorise us to charge your nominated payment method on each billing date. Failed payments will be retried up to three times over 10 days. If payment remains unsuccessful, your account may be suspended until the outstanding balance is settled.
Refunds are not provided for partial months of service. Annual subscriptions paid upfront receive a 15% discount and are non-refundable except within the first 7 days.
7. Acceptable Use
You agree not to use ForwardCycle AI to: make or facilitate nuisance, spam, or unsolicited calls; process calls for illegal, fraudulent, or deceptive purposes; handle calls involving regulated financial advice, emergency services dispatch, or medical triage requiring human clinical judgment; attempt to reverse-engineer, decompile, or extract our AI models or proprietary technology; exceed your plan's call limits without agreeing to overage charges; share your account credentials with third parties; or use the service in any way that violates applicable UK or international law.
We reserve the right to suspend or terminate accounts that breach these terms without refund.
8. Caller Notification & Disclosure
This is your responsibility as the Client. UK law and Ofcom guidance require that callers are informed when they are speaking to an AI system and when calls are being recorded. ForwardCycle AI's AI agents include configurable disclosure statements at the start of each call. You must ensure that: the AI disclosure is enabled and not removed or modified to obscure the AI nature of the agent; call recording consent mechanisms are active; your use of the service complies with the Privacy and Electronic Communications Regulations 2003 (PECR) and Ofcom's guidance on AI in telecommunications.
ForwardCycle AI provides the technical capability for disclosure and consent, but compliance with applicable regulations is ultimately your responsibility as the data controller for your callers' data.
9. Intellectual Property
ForwardCycle AI and its licensors retain all rights in the platform, including: the AI voice agent technology, algorithms, and models; the dashboard interface and design; industry-specific agent templates and configurations; the ForwardCycle AI brand, logo, and trademarks; and all documentation and supporting materials.
You retain ownership of: your business data, FAQs, and custom agent configurations; call recordings and transcripts generated for your account; and lead and appointment data captured by your agent.
We grant you a limited, non-exclusive, non-transferable licence to use the platform for the duration of your subscription.
10. Your Data
You own your data. Upon termination, you may export your call recordings, transcripts, leads, and appointment data within 30 days. After 30 days, we will delete your data in accordance with our Privacy Policy. We process your data as a data processor under UK GDPR. A Data Processing Agreement (DPA) is available on request.
11. Limitation of Liability
To the maximum extent permitted by law: our total aggregate liability to you for any claims arising from or related to the service shall not exceed the total fees paid by you in the 12 months immediately preceding the claim; we are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill; and we are not liable for any losses arising from: the AI agent providing incorrect or incomplete information to callers; missed or dropped calls due to telephony network failures; or actions taken by callers based on information provided by the AI agent.
Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded by law.
12. Warranty Disclaimer
The service is provided "as is" and "as available". We make no warranties, express or implied, regarding: the accuracy of AI-generated transcripts, summaries, or lead scores; uninterrupted or error-free operation; fitness for a particular purpose; or the results you will achieve from using the service.
13. Indemnification
You agree to indemnify and hold ForwardCycle AI harmless from any claims, damages, or expenses (including reasonable legal fees) arising from: your breach of these Terms; your use of the service in violation of applicable law; claims by callers relating to AI disclosure, recording consent, or data handling; or your agent configuration causing harm or providing misleading information.
14. Termination & Cancellation
You may cancel your subscription at any time via the dashboard or by emailing info@forwardcycle.co.uk. Cancellation takes effect at the end of the current billing period. No refunds are provided for the remaining portion of a billing period. Upon cancellation: your AI agent will stop answering calls at the end of the billing period; you have 30 days to export your data; and after 30 days, your data will be deleted per our retention policy.
We may terminate or suspend your account immediately if: you breach these Terms; your account is used for illegal activity; you fail to pay outstanding invoices after repeated notice; or continued provision of the service becomes impracticable due to regulatory changes.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email at least 30 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the revised Terms. If you disagree with material changes, you may cancel your subscription before they take effect.
16. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Any disputes shall first be attempted to be resolved through good-faith negotiation for a period of 30 days. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.
